The following instructions are issued for your guidance in the event of a British-registered company, whose chief local office is situated in your consular district, enquiring whether any facilities exist for putting on record its British status. In that case you should reply that the following documents may be deposited with you on a voluntary basis and without payment of fee:

a certified copy of the certificate of
incorporation of the company or other document corresponding thereto.
a copy of the memorandum and articles of association or other documents corresponding thereto.
a statement showing the nominal capital of the company and the amounts thereof which have been subscribed and paid up respectively.
a list of the directors of the company, showing in respect of each director his full name and nationality and his address, and a report of any alterations in the list.
a list of the shareholders
as periodically filed
in accordance with the law under which the company is incorporated.
the name and address of the manager or other chief local representative in China, and any alteration concerning the representative.
Though such "registration" would, as stated, be on a voluntary basis, it should be encouraged as a regular practice and, if the proportion of companies "registering" is sufficiently large, a return should be compiled and forwarded to His Majesty's Consul-General at Shanghai annually on April 1st. No distinction should however be made in the treatment of British companies between those that have deposited documents, and those that have not.
